Please read these Terms of Service ("Terms") carefully before using the Saath mobile application, website, and related services (collectively, the "Services"), operated by Saath Inc. ("Saath," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2. Account Registration
When you create an account, you must provide accurate and complete information. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
3. Service Description
Saath is a culturally intelligent matchmaking platform. The Services may include:
- Profile creation and matchmaking
- Messaging between mutual matches
- Daily match recommendations
- An AI assistant ("SAI") for guidance
- Waitlist registration and marketing communications
We may modify, suspend, or discontinue any part of the Services at any time.
4. User Conduct
You agree not to use the Services to:
- Impersonate another person or create a fake identity.
- Harass, abuse, or harm other users.
- Transmit fraudulent, defamatory, obscene, or offensive content.
- Engage in commercial activity without our prior written consent.
- Attempt to circumvent our security or access systems.
- Use the Services for any illegal purpose.
You are solely responsible for your interactions with other users. Saath is not responsible for the conduct of any user.
5. Content
5.1 Your Content
You retain ownership of the content you submit to the Services (including photos, messages, and profile information). By submitting content, you grant Saath a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and distribute that content solely for the purpose of operating and improving the Services.
You represent that your content does not violate the rights of any third party and does not violate any applicable laws.
5.2 Our Content
All intellectual property rights in the Services and their content (excluding user-generated content) are owned by Saath or our licensors. You may not copy, modify, distribute, or create derivative works without our permission.
5.3 Copyright and DMCA
If you believe that any content on the Services infringes your copyright, you may submit a notice to us at contact@saathapp.com. Your notice must include:
- A description of the copyrighted work you claim has been infringed.
- A description of where the allegedly infringing material is located on the Services.
- Your contact information.
- A statement that you have a good faith belief that the use is not authorized.
- A statement that the information in your notice is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the copyright owner.
We reserve the right to remove content that we believe infringes copyright and to terminate the accounts of repeat infringers.
6. Safety and Enforcement
We maintain a trust-first environment. You may report other users for violations including harassment, fake identity, abusive language, inappropriate sexual behavior, and fraudulent information.
Saath reserves the sole and absolute right to suspend, restrict, or terminate your account at any time, for any reason or no reason, including but not limited to:
- Fake identity or catfishing
- Harassment or abusive behavior
- Fraud or misrepresentation
- Violation of these Terms
- Low behavioral score or repeated complaints
We may also use automated systems, including AI moderation, to evaluate reported content and enforce these Terms. Human moderators may review cases where automated confidence is low.
7. Subscriptions and Payment
7.1 Subscription Plans
Certain features may require a subscription ("Pro" or "Premium"). Subscription fees are due in advance and are billed on a weekly, monthly, or yearly basis as selected.
You may purchase subscriptions through:
- The Apple App Store or Google Play Store (subject to their terms and refund policies).
- An external website operated by Saath, which may offer a discount compared to in-app pricing.
By subscribing, you acknowledge that purchases made through Apple or Google are subject to their respective terms and conditions.
7.2 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.
You may cancel your subscription at any time through:
- The Apple App Store or Google Play Store subscription settings.
- The in-app subscription management settings.
Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of that period.
7.3 Free Trials
We may offer free trials for paid subscriptions. If you sign up for a trial, you authorize us to charge the applicable subscription fee when the trial ends, unless you cancel before the trial period expires.
Trial eligibility and duration are determined by Saath and may vary by promotion or user. You may not combine multiple trials for the same subscription.
7.4 Refunds
All purchases are final and non-refundable, except where required by law. We may, in our sole discretion, issue refunds on a case-by-case basis. For purchases made through Apple or Google, refund requests must typically be submitted to the respective platform.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Saath does not guarantee that the Services will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, quality, or compatibility of any match or user.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAATH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SAATH IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Saath and its affiliates from any claims, damages, losses, or expenses arising out of your use of the Services, your content, or your violation of these Terms.
11. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
11.1 Agreement to Arbitrate
By using the Services, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth in Section 11.4.
11.2 Class Action Waiver
YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR OTHERWISE, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.
If a court or arbitrator finds this class action waiver unenforceable, the arbitration agreement shall be null and void.
11.3 Arbitration Procedures
The arbitration shall be administered by a mutually agreed-upon arbitration provider under its applicable rules. The arbitration shall take place in Delaware unless otherwise agreed. The arbitrator's decision shall be final and binding.
11.4 Exceptions to Arbitration
Notwithstanding the foregoing, the following disputes shall not be subject to arbitration and may be resolved in court:
- Claims relating to the infringement or misappropriation of intellectual property rights.
- Requests for injunctive or other equitable relief.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you through the Services or by other means. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
14. Termination
You may stop using the Services at any time. Upon termination, all licenses and rights granted to you under these Terms will cease immediately.
Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, indemnification, limitations of liability, and arbitration.
15. General
These Terms constitute the entire agreement between you and Saath regarding the Services. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
